Terms and Conditions

These Terms of Use (the "Terms") are a legally binding agreement between you ("you" or the "User") and Acting Pal Ltd ("Acting Pal", "we", "us", or "our"). Acting Pal Ltd is a company registered in England and Wales (Company No. 15944466) with its registered office at Gore Hill House, Haslingbourne Lane, Petworth, England, GU28 0JJ. These Terms govern your access to and use of the Acting Pal mobile application and related services (collectively, the "App" or the "Service"). By creating an account or otherwise using the App, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the App.
Your use of the App is also subject to our Privacy Policy (available on our website or within the App), which is hereby incorporated by reference into these Terms. Please read the Privacy Policy to understand how we collect, use, and protect your personal data.
1. Account Registration and Eligibility
Account Creation: To use Acting Pal, you must create an account by providing your name and surname, a valid email address and choosing a password. Your name and surname may be a pseudonym, provided it is not offensive, misleading, or intended to impersonate someone else. Your email address and any other contact details must be genuine and kept up to date so we can authenticate your account and send mandatory service communications.
Age Requirement: You must be at least 13 years old to register for or use the App. If you are under 18, you confirm that you have your parent or guardian's consent to use the App and that they have reviewed and agreed to these Terms on your behalf. We reserve the right to request proof of age or parental consent if necessary.
Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must not share your account or password with anyone. If you suspect any unauthorized use of your account or a security breach, you must notify us immediately at info@actingpal.com. We are not liable for any loss or damage arising from your failure to keep your account secure.
User Responsibilities: You are responsible for your use of the App and any content you upload or generate. You agree to use the App only for lawful purposes and in accordance with these Terms. You also agree to respect the rights of others and not engage in any activity that interferes with or disrupts the App.
2. Subscription and Fees
Paid Subscription: Acting Pal is offered on a subscription basis. Access to the Service requires an active monthly subscription of $9.99 USD (or the equivalent in your local currency). Prices may be higher in certain territories where additional taxes, fees, or currency adjustments apply. All subscription payments are processed through the Apple App Store or Google Play Store (depending on your platform).
Free Trial: We offer a one-time free trial period of 3 days for new subscribers. Your chosen app store will not charge you until the 3-day free trial ends.
Billing Cycle: Subscription fees are billed in advance on a recurring monthly cycle. The billing date is determined by the date of your initial subscription purchase (following any free trial). For example, if your paid subscription begins on the 5th of a month, subsequent payments will generally be charged on the 5th of each following month. Billing is managed by the App Store or Play Store, and all transactions are subject to their terms and conditions.
Taxes: Subscription fees are inclusive of any applicable taxes unless otherwise stated. If any taxes (e.g., VAT) are required by law, they will be included in the charges as processed by the app store.
Price Changes: Acting Pal Ltd reserves the right to adjust the subscription price or introduce new fees for additional features in the future. If we change the subscription price, we will provide you with reasonable advance notice (for example, via the app stores or email). Price changes will not affect your current subscription period, but will apply to renewals or new subscriptions. If you do not agree to a price change, you may cancel your subscription before the new price takes effect. Your continued use of the Service after the price change becomes effective will constitute your acceptance of the adjusted price.
3. Cancellation and Refund Policy
Cancelation Rights: You may cancel your subscription at any time through the platform where you purchased it (e.g., via your Apple App Store or Google Play account). Cancellation will stop future billing, and you will retain access to the service for the remainder of the period already paid.
Free Trial Cancellation: If you cancel during the 3-day free trial period, you will not be charged at all. You will retain access to the Service for the remainder of the trial period but your subscription will not roll over into a paid subscription.
Refund Policy: Subscription payments are non-refundable. This means we do not issue refunds or credits for unused time in a billing cycle except where required by law or by the app store’s terms.
How to Cancel: Subscription cancellations must be done through the platform where you originally subscribed. If you subscribed via the Apple App Store, you must cancel through your Apple ID account settings. If you subscribed via Google Play Store, you must cancel through your Google account subscriptions settings. Deleting the App or your account will not automatically cancel your subscription; you must follow the App Store/Play Store cancellation procedures.
Statutory Cooling-Off Period: If you are a consumer resident in the UK or EU, you may have a legal right to withdraw from a distance contract (such as a digital service subscription) within 14 days (the "cooling-off period") starting from the day after you subscribe. However, by initiating the Service (including using the free trial), you request and consent that the digital Service be made available to you immediately, and you acknowledge that this will result in the loss of your right to withdraw from the contract and receive a refund once the service has begun. This is in accordance with regulation on consumer contracts for digital content. If you have not started using the Service at all and request a cancellation within 14 days of sign-up, you may be entitled to a refund under law; otherwise, the no-refund policy as stated above will apply. This does not affect any other statutory rights you may have.
4. License Grant and Scope of Use
License to Use the App: Subject to your compliance with these Terms (including payment of applicable fees), Acting Pal Ltd grants you a personal, limited, non-exclusive, non-transferable, and revocable license to download, install, and use the Acting Pal mobile application on devices that you own or control, and to access and use the Service for your own personal, non-commercial acting and self-tape practice purposes. This license is provided solely to enable you to use and enjoy the Service as provided by us, in the manner permitted by these Terms.
No Transfer or Sublicense: You may not rent, lease, lend, sell, redistribute, or sublicense the App or any portion of the Service to any other person. You must not make the App available over a network where it could be used by multiple devices or users at the same time, unless such use is expressly permitted by us in writing.
App Store Terms: Your use of the App is also subject to the usage rules set forth in the Apple App Store or Google Play Store terms of service. You must comply with any applicable third-party terms of agreement when using the App (for example, your wireless provider’s data-service terms).
Proprietary Rights: The App and Service (including all content, software, text, images, audio, video, and other materials provided by Acting Pal, as well as the design, selection, and arrangement thereof) are protected by intellectual-property laws. Acting Pal Ltd and its licensors retain all right, title, and interest in and to the App and Service, including all associated intellectual-property and proprietary rights. We are merely granting you a revocable license to use our software and services; we are not selling or transferring ownership of any software or intellectual property to you.
Restrictions: You agree that you will not and will not assist, permit, or enable others to do any of the following:
- Copy, modify, adapt, translate, or create derivative works of the App or any portion of the Service (except to the extent expressly allowed under open-source licenses for components we use, if any, or as permitted by law).
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App or any software component of the Service, unless you have our prior written permission or such activity is expressly allowed by applicable law (in which case, any information gained will be used solely to achieve interoperability with the Service).
- Remove, obscure, or alter any copyright, trademark, or other proprietary-rights notices displayed in the App or through the Service.
- Use any portion of the Service or the content provided through the App for any purpose other than your personal, non-commercial use. (For example, you may not use our AI-generated audio for commercial film or broadcasting without permission, or use the App as part of a for-profit coaching service without a separate agreement with us.)
- Use the App in violation of any applicable law or regulation, or for any purpose not expressly permitted by these Terms.
Open Source Components: If the App contains any open-source software components, those components are licensed to you under the terms of the relevant open-source licenses, which will not be affected by these Terms. Information on any open-source components and their licenses may be provided within the App or on our website.
5. User Content and Security Commitments
User Content Ownership: Acting Pal allows you to upload or create content such as scripts (text or images of text), recorded audio/video of your performances, or other materials for use within the App (collectively, “User Content”). You retain all ownership rights in the User Content that you create or upload. We do not claim any ownership over your scripts, recordings, or other content.
License to Acting Pal: By uploading, submitting, or generating User Content in the App, you grant Acting Pal Ltd a limited, worldwide, non-exclusive, royalty-free license (with the right to sub-license to our service providers for the sole purpose of providing the Service) to use, reproduce, process, adapt, and transmit your User Content solely to the extent necessary to provide the Service to you. This means, for example, we have your permission to (a) store your scripts and files on our secure servers, (b) use them to generate AI voice readings or other outputs as you request, and (c) create temporary copies or transformations of the content as needed for technical processing and delivery to you. We will not use your User Content for any purposes other than delivering the Service back to you, and we will not share your User Content with other users or make it publicly available without your explicit consent.
Data Retention: We will retain your User Content on our servers for as long as needed to provide the Service to you. We will also retain certain information as required by law or for legitimate business purposes (such as maintaining records of transactions, or for fraud prevention). When you delete User Content through the App, or if you delete your account, we will make commercially reasonable efforts to remove or anonymize the deleted data from active systems.
Security Commitments: We recognize that your scripts, auditions, and other materials may be sensitive. Acting Pal will use commercially reasonable administrative, technical, and physical safeguards to protect your User Content. Safeguards include, but are not limited to:
- Local storage of (written) dialogue, recorded audio and imported audio (when user presses “self tape” and then “create script”).
- Deleting all data stored immediately after processing.
- Transferring all data in transit using HTTPS/TLS encryption.
- Encrypting data with AES-CBC.
- Applying strict AWS security controls for any brief plaintext held in memory that prevent any Acting Pal team member from accessing scripts at any point in the process.
Third-Party Service Providers (Data Processing): To provide the core functionality of Acting Pal, we utilize a few specialized third-party services. By using the App, you acknowledge and agree to your User Content being processed by the following services, as applicable, solely for the purposes of providing the Service:
- Amazon Web Services (AWS): We use AWS infrastructure for secure cloud storage (via AWS S3) and for other backend services.
- OCR Processing: For scripts that are images or scanned PDFs, we use Textract OCR (on AWS). The data is not stored by the OCR service beyond providing the extracted text back to us.
- Anthropic API (Language Model): We use the Anthropic AI API (a large language model service) to help identify dialogue parts and character parts as needed for the Service. We use Anthropic in a “zero-retention” mode. - ElevenLabs API (Text-to-Speech): To generate voice audio for your scripts, we use the ElevenLabs text-to-speech API. We send the relevant dialogue lines (and any necessary context) to ElevenLabs, which returns an audio recording of those lines spoken in an AI voice. We use ElevenLabs in Zero Retention Mode. - Supabase: Our application uses Supabase (a backend-as-a-service platform) as our primary database.
- Other Services: We may use additional services for performance monitoring and background task management. These services may process metadata about your usage (such as request timings or error logs) but do not store the content of your scripts or audio.
Stress test: We commit to an external stress test on a quarterly basis to identify and fix vulnerabilities and to ensure the security of our infrastructure.
No Model-Training Use of Your Data: Acting Pal will not use your uploaded scripts or audio to train, fine-tune, or otherwise improve machine-learning or AI models.
6. Acceptable Use and Prohibited Activities
You agree that you will only use the Acting Pal App and Service in a manner that is lawful, proper, and in accordance with the intended purposes of the platform. You must not:
- Break the Law: Use the App for any unlawful purpose or in violation of any local, national, or international law or regulation. This includes (but is not limited to) intellectual-property laws, data-protection and privacy laws, and export-control laws.
- Misuse/Excessive Use: Do not engage in any activity – including excessive usage beyond normal personal use – that could damage, disable, overburden, or otherwise impair the App or interfere with other users’ experience.
- Unauthorized Access: Attempt to gain unauthorized access to any accounts, computer systems, or networks connected to the Service, through hacking, password mining, or any other means. Likewise, you must not attempt to access or search the Service with any engine, software, tool, agent, or other device or mechanism (such as spiders, robots, scrapers, or offline readers) other than the software and search features provided by Acting Pal or other generally available third-party web browsers.
- Circumvent Security Measures: Bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Acting Pal or any third party (including another user) to protect the Service or content on the Service. This includes not attempting to evade any usage limits or storage limits, and not using multiple accounts or other means to exceed the Service quotas or limitations.
- Impersonation and Fraud: Impersonate any person or entity, or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity. You must not use a false identity or provide any false information to gain access to the App, and you must not use the App in a fraudulent or deceptive manner (for example, misrepresenting your identity in an attempt to gain access to someone else's content).
- Harassment or Harm: Use the Service to harass, abuse, or harm another person. This includes sending any communications or content that are defamatory, libelous, threatening, harmful, or that constitute hate speech or harassment. While Acting Pal is primarily a solo practice tool (with content generally only visible to you), any interaction you have with us or our community (such as support chats or forums, if offered) must be respectful and lawful.
- Collecting Personal Data: Harvest or collect email addresses or other contact information of other users (if any community features are introduced) by electronic or other means for the purposes of sending unsolicited communications or to create user accounts by automated means or under false pretenses.
- Commercial or Unauthorized Use: Exploit the Service for any commercial purpose not expressly permitted by these Terms. You may not use the App to develop a competing product or service, or use it in any manner that could compete with or displace the market for Acting Pal. You may not resell the Service or any part of the content or outputs (e.g., AI-generated audio) to any third party without our written permission.
- Reverse Engineering: Attempt to reverse engineer or extract any source code or underlying ideas or algorithms of any part of the Service, except to the limited extent permitted by applicable law (and then only after providing us with prior notice).
- Automated Use: Use any automated system or software, whether operated by a third party or otherwise, to extract or scrape data from the Service for any purpose (screen scraping, database scraping, crawling, etc.) without our prior written permission. (This does not prohibit the use of APIs we may provide, if any, for intended use of the Service.)
- Posting of Unauthorized Content: You must hold all necessary rights to anything you upload or create with the Service. Accordingly, you may not use the Service to store, transmit, or generate content that (a) infringes any copyright, trademark, trade-secret, privacy, publicity, or other proprietary right; (b) includes another person’s personal data without valid consent or otherwise violates privacy or data-protection laws; (c) breaches a duty of confidentiality or any contractual restriction—such as an NDA or closed-audition agreement—unless every right-holder has given prior, express permission; or (d) contains viruses, malware, or other code intended to disrupt, damage, or exfiltrate data.
Violation of any of the above Acceptable Use provisions is considered a material breach of these Terms and may result in immediate suspension or termination of your account (see Section 10) and potential legal action if warranted. We reserve the right to investigate any suspected breaches and cooperate with law enforcement or other authorities in prosecuting users involved in unlawful activities.
7. Intellectual Property Rights
Our Intellectual Property: All content and materials available on or through the Acting Pal Service (excluding your User Content) are the intellectual property of Acting Pal Ltd or its licensors. This includes, but is not limited to, all software code, design elements, text, graphics, images, video, audio (including AI-generated voices provided by the Service), and the compilation and arrangement of such content. All rights to the Service and its content not expressly granted to you in these Terms are reserved by Acting Pal and its licensors. You agree not to copy, distribute, modify, or create derivative works based on any portion of the App or Service except as expressly allowed by these Terms.
Trademarks: The name "Acting Pal", our logo, and any other Acting Pal product or service names or slogans that may appear within the App are trademarks or registered trademarks of Acting Pal Ltd. They must not be used in whole or in part without our prior written permission. All other trademarks, logos, and service marks on the App are the property of their respective owners. Use of the following third-party trademarks or logos on the Service is intended to describe the third-party services integrated with our App. All such third-party marks are owned by their respective proprietors.
No Rights Granted (Except as Stated): Except for the limited license we grant you in Section 4, nothing in these Terms shall be interpreted as granting you any license or rights in our intellectual property or that of our partners. You shall not use, reproduce, or exploit any part of the App or its content for any purpose not expressly permitted by these Terms.
User Content IP: You retain ownership of your User Content as stated in Section 5. We do not own your content, and these Terms do not transfer any intellectual-property rights in your content to us (beyond the limited license needed to operate the Service). We also claim no rights in the performances or recordings you create — those remain yours. However, ensure that any content you use does not infringe others’ rights, as you will be responsible for any infringement.
Feedback: If you provide us with any suggestions, ideas, enhancement requests, recommendations, or other feedback regarding the App or Service ("Feedback"), you hereby grant us a perpetual, irrevocable, sublicensable, worldwide, and royalty-free license to use and incorporate such Feedback into the Service or our business products. You acknowledge that we may use Feedback without any obligation of confidentiality or compensation to you, and that any improvements or modifications based on Feedback will be our sole property.
8. Disclaimers of Warranties
Service Provided "AS IS": Your use of the Acting Pal App and Service is at your sole risk. The Service is provided "AS IS" and "AS AVAILABLE", with all faults and without warranty of any kind. Acting Pal Ltd expressly disclaims all warranties and conditions of any kind, whether express, implied, or statutory, including, without limitation, implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Service will meet your requirements or that the results that may be obtained from the use of the Service will be accurate or reliable.
No Guarantee of Availability: Acting Pal does not warrant that the App or Service will be uninterrupted, timely, secure, or error-free. There may be occasions when the Service is interrupted (for maintenance, updates, or network issues) or when errors may occur (in software or content). We are not responsible for any problems or technical malfunctions of any telephone network or lines, computer online systems, servers or providers, hardware, software, failure of any email or playback on account of technical problems or traffic congestion on the internet or on the Service. Any material or data obtained through the Service is accessed at your own discretion and risk, and you will be solely responsible for any damage to your device or loss of data that results.
AI-Generated Content: You acknowledge that Acting Pal utilizes artificial intelligence and machine learning services (from third-party providers like Anthropic and ElevenLabs) to generate content (such as voice readings and script analysis). We make no warranty that the AI-generated content will be perfect, accurate, or appropriate for your specific use case. The AI may occasionally produce errors, mispronunciations, or unexpected outputs. You should review all outputs and use your own judgment before relying on them. Acting Pal is not responsible for any content generated by these AI services and provided through the App, and you understand that using such AI outputs is at your own risk.
No Endorsement or Verification: Any content or materials (including script text or notes) presented via the Service are for your practice purposes. Acting Pal does not endorse any script or guarantee that any script provided is free of errors or legal to use in all contexts. We do not verify the authenticity or legality of User Content uploaded to the Service; that responsibility lies with the user who provides the content.
Third-Party Services Disclaimer: We rely on third-party providers to provide critical aspects of the Service. While we select reputable providers and aim to ensure they deliver reliable service, we do not guarantee the continuous availability or error-free performance of any third-party services. Any downtime, data loss, or errors caused by third-party services are beyond our direct control. However, we will make reasonable efforts to work with such providers to resolve issues promptly and minimize disruption to you.
Consumer Rights: Some jurisdictions provide certain statutory warranties or conditions, such as a guarantee that digital services will be provided with reasonable care and skill, or that digital content is of satisfactory quality. Nothing in these Terms is intended to exclude or limit any statutory rights you have as a consumer that cannot be excluded or limited by contract. If you are a consumer, you may have additional rights under local law, and these Terms should be read subject to those laws. For example, in the UK, if the Service fails to meet the standards required by law, you may be entitled to certain remedies (like a repair, replacement, or refund) which are not affected by this Disclaimer section.
No Other Warranties: No advice or information, whether oral or written, obtained by you from Acting Pal or through the Service, shall create any warranty not expressly stated in these Terms. We do not guarantee that any training, practice, or self-tape you create using Acting Pal will lead to any role, job, or specific result in your acting career. Always use your professional judgment and consider Acting Pal as one of many tools at your disposal.
9. Community Chat & Third-Party Platforms
Purpose: The Community Chat (currently hosted on WhatsApp™) exists solely so that users (i) exchange feedback on the Acting Pal app, (ii) report bugs or issues, and (iii) suggest new features or improvements. It is not a guaranteed customer-support channel or a general social network.
Optional Service: Participation in the Community Chat is entirely optional and not required to use the App.
Consent to Disclosure: By joining the Community Chat you expressly request and authorise us to disclose to all current and future participants the personal data inherently shared by WhatsApp, including at a minimum your mobile telephone number, profile name, profile picture and any messages or media you post.
No Control or Monitoring: The Community Chat is operated on a third-party platform that we do not own, control or moderate. We do not verify the identity, bona fides or intentions of any participant and we do not screen, endorse or monitor any content posted there.
Your Responsibility: You are solely responsible for (a) deciding what information to share, (b) exercising all due caution before relying on, responding to or engaging with any message, link or request, and (c) complying with all laws that apply to your communications.
- (i) any contact, communication or transaction (whether actual or attempted) between you and any third party that occurs as a result of your participation in the Community Chat;
- (ii) any false, misleading, fraudulent, defamatory, harmful or unlawful content posted by another participant; or
- (iii) any unauthorized, improper or malicious collection, use or disclosure of your personal data by any participant or other third party.
Waiver of Claims: You irrevocably waive and agree not to bring any claim against Acting Pal Ltd save for claims that cannot lawfully be excluded (for example, death or personal injury caused by our negligence).
Feedback Licence: Ideas or suggestions you share in the Community Chat are “Feedback” as defined in Section 7. By posting them, you grant Acting Pal Ltd the same perpetual, worldwide, royalty-free rights described there, with no obligation to credit or compensate you.
Third-Party Terms: Your use of WhatsApp is also governed by WhatsApp’s own terms of service and privacy policy, which are entirely outside our control.
10. Limitation of Liability
Indirect Damages: To the fullest extent permitted by law, Acting Pal Ltd and its directors, officers, employees, agents, partners, and affiliates shall not be liable to you for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, goodwill, data, opportunity, or business interruption, even if we have been advised of the possibility of such damages. This limitation of liability applies regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether any limited remedy herein fails of its essential purpose.
Cap on Liability: To the extent that our liability is not otherwise excluded, our aggregate liability to you for all claims arising out of or relating to the Service or these Terms will not exceed the total amount of fees that you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim. If you have not paid any fees (for example, if you were on a free trial or using a free service tier), our liability to you for any damages shall not exceed £50 GBP(or the equivalent in local currency). This limitation applies cumulatively to all claims, whether arising under contract, tort, or otherwise.
Release: Except for liabilities and claims expressly permitted under these Terms, you hereby release and discharge Acting Pal Ltd and its affiliates from any and all liability, claims, causes of action, or damages arising from your use of the App or Service. You agree that this release is effective to the maximum extent permitted by applicable law.
Indemnification: You agree to indemnify, defend, and hold harmless Acting Pal Ltd and its officers, directors, employees, and agents from and against any and all losses, liabilities, claims, demands, damages, or expenses (including reasonable solicitors' and attorneys' fees) arising out of or related to: (a) your use or misuse of the Service, (b) your breach or violation of any term of these Terms, (c) your violation of any law or regulation or of any rights of a third party (such as intellectual property, privacy, or publicity rights), except to the extent any such liability is caused by our own negligence or breach of these Terms. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (at your expense), and you agree to cooperate with our defense of such claim. This indemnity obligation will survive the termination of your account and this agreement.
Consumer Law Exceptions: We do not exclude or limit our liability to you where it would be unlawful to do so. In particular, nothing in these Terms excludes or limits our liability for: (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any matter for which it would be illegal for us to exclude, or attempt to exclude, our liability under applicable law. These Terms give you certain legal rights, and you may also have other rights which vary from jurisdiction to jurisdiction. If you are a consumer, the above limitations may not apply to claims related to your statutory rights.
11. Termination
Your Right to Terminate: You may stop using the App at any time. You also have the option to delete your account by contacting us at info@actingpal.com and requesting account deletion. We will process account deletion requests in accordance with our verification and data deletion procedures. Please note that deleting your account will remove your access to the Service and may permanently erase your User Content from our active systems (this action is irreversible). Important: Deleting the App or your account does not automatically cancel your subscription payments — you must also cancel the subscription through the App Store or Play Store as described in Section 3 to stop further billing.
Our Right to Suspend or Terminate: Acting Pal Ltd may suspend or terminate your access to the Service (any portion thereof, including downgrading your account to a free limited mode if one exists) at any time with or without notice and with no liability to you if we, in our sole discretion, determine that:
- You have violated these Terms or any applicable law or regulation, or we have a reasonable belief that you are about to do so;
- Your use of the Service creates risk of harm or loss to us, other users, or any third party (for example, if you engage in fraudulent activities or security violations);
- We decide to discontinue the Service or replace it with a new offering (in such case, we will attempt to give you at least 30 days' notice where practicable);
- Unexpected technical or security issues or problems require us to suspend or terminate the Service (for example, if we find a critical vulnerability or are required to shut down by lawful order).
Effect of Termination: Upon termination of your account for any reason, your right to use the Service will immediately cease. We may irreversibly delete or disable access to your account data and User Content shortly after termination, except to the extent we are required to retain it by law or for legitimate business purposes (e.g., backup retention, dispute resolution, or financial record-keeping). We recommend that you maintain your own backups of any content that is important to you, as we cannot guarantee that we will be able to recover or provide copies of your data once an account is deleted or terminated.
No Refund upon Termination: If your account or access to the Service is terminated or suspended by us due to a violation of these Terms, you will not be entitled to any refund of fees you have paid. If we terminate the Service entirely (discontinue operations), we will provide pro-rata refunds for any prepaid subscription fees that correspond to unused Service periods, unless doing so is impossible due to app store constraints (in which case refunds may be handled by Apple or Google according to their policies).
Survival: The provisions of these Terms that by their nature should survive termination (such as provisions on ownership, license rights granted to us, indemnity, limitations of liability, dispute resolution, and others) will survive the termination or expiration of this agreement and remain in effect.
12. Governing Law and Jurisdiction
Governing Law: These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms, their subject matter or formation, or your use of the Service, shall be governed by and construed in accordance with the laws of England and Wales.
Jurisdiction: You and Acting Pal Ltd agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Service or these Terms. You and we each irrevocably submit to the jurisdiction of such courts. If you are using the Service as a consumer and you are domiciled outside of the UK, this clause does not override any rights you may have under mandatory local laws to bring disputes in your country of residence. However, nothing shall prevent either party from seeking interim injunctive relief or any equivalent urgent legal remedy in any appropriate jurisdiction to protect its interests or enforce its rights under these Terms (for example, to protect intellectual property or confidential information).
13. Changes to the Terms
Updates to Terms: We may revise or update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you — for example, by posting the updated Terms on our website or within the App, or by sending a notice to the email address associated with your account. The notification will outline the key changes and the date they become effective.
Acceptance of Changes: Your continued use of the App or Service after updated Terms have been posted (and have become effective) constitutes your acceptance of the new Terms. If you do not agree with any changes to the Terms, you should stop using the Service and cancel any subscription before the new Terms take effect. We encourage you to review the Terms periodically to ensure you understand the terms and conditions that apply to your use of the Service.
Effective Date: Unless stated otherwise, revisions to the Terms will be effective from the date they are posted. In some cases, we may specify a later effective date for certain changes (especially if they involve new features or legal requirements). We will not make changes to the Terms that have a materially retroactive effect without providing notice, except as required by law.
14. Miscellaneous
Entire Agreement: These Terms (together with our Privacy Policy and any additional terms that may apply to specific features of the Service as notified to you) constitute the entire agreement between you and Acting Pal Ltd regarding the Service. They supersede and replace any prior or contemporaneous understandings, agreements, or communications (whether oral or written) relating to the subject matter. Each party acknowledges that in entering into this agreement it has not relied on any representations, warranty, or understanding other than those expressly set out in these Terms.
Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed severed from these Terms and shall not affect the validity and enforceability of the remaining provisions. The invalid or unenforceable provision shall be interpreted, to the extent possible, to achieve the intent of the original provision.
No Waiver: No failure or delay by Acting Pal in exercising any right or remedy provided under these Terms or by law shall constitute a waiver of that or any other right or remedy. Similarly, a single or partial exercise of any right or remedy by us does not prevent any further exercise of that right or remedy or the exercise of any other right or remedy. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Acting Pal.
Assignment: You may not assign, transfer, or sub-contract any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to another company or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets related to the Service. We will notify you (for example, via a notice within the App or email) if such a transfer occurs. These Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
No Third-Party Rights: These Terms do not confer any rights on any person or entity other than you and Acting Pal Ltd. No third party shall have any right to enforce any term of this agreement under the Contracts (Rights of Third Parties) Act 1999, except as specifically explained in the "App Stores" section below. The absence of third-party beneficiary rights does not affect any right or remedy a third party may have separately under applicable law.
App Stores (Third-Party Beneficiaries): You acknowledge that this agreement is between you and Acting Pal Ltd, and not with Apple Inc. or Google LLC (or their subsidiaries), even though the App is distributed via their platforms. However, Apple and Google (and their subsidiaries) are third-party beneficiaries of these Terms. This means that upon your acceptance of these Terms, Apple and Google have the right (and will be deemed to have accepted the right) to enforce these Terms against you as third-party beneficiaries.
Apple-Specific Terms: If you obtained the App from the Apple App Store, the following terms apply: You acknowledge that Apple has no obligation to provide any support or maintenance services in relation to the App. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price (if any) for the App to you; to the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the App. Apple is not responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including but not limited to: (i) product-liability claims; (ii) any claim that the App fails to conform to any legal or regulatory requirement; (iii) claims arising under consumer-protection or similar legislation; or (iv) claims that the App infringes a third party's intellectual-property rights. You agree to comply with the App Store Terms of Service, and in particular, you must not use the App in any way that conflicts with or violates the App Store Terms of Service.
Google-Specific Terms: If you obtained the App from Google Play, the following terms apply: You agree to comply with Google Play's terms and conditions. Google is only responsible for Google's own products and services and has no liability or obligation in connection with our App. In case of any conflict between these Terms and the Google Play terms, these Terms will govern the relationship between you and Acting Pal (and your usage of the App), while the Google Play terms will govern your relationship with Google.
